SoloPilot Terms of Service

These Terms of Service (“Terms”) govern your access to and use of SoloPilot.
SoloPilot is operated by MJ SMITH HOLDINGS LTD, a company registered in England and Wales under company number 16119280 (“SoloPilot”, “we”, “us” or “our”).
By creating an account, purchasing a subscription or using SoloPilot, you agree to these Terms.
If you do not agree to these Terms, you must not use the Service.
1. About SoloPilot
SoloPilot is a software platform designed to help freelancers, sole traders and independent professionals manage their work and business administration.
Features may include tools for managing:
- Clients;
- Projects;
- Tasks;
- Quotes;
- Invoices;
- Expenses;
- Payments;
- Documents;
- Business information; and
- Other administrative activities.
We may add, modify or remove features as SoloPilot develops.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a contract to use SoloPilot.
If you use SoloPilot on behalf of a business or other organisation, you confirm that you have authority to bind that organisation to these Terms.
3. Your Account
You must provide accurate information when creating your account.
You are responsible for:
- Maintaining the confidentiality of your login credentials;
- Activities carried out through your account;
- Keeping your account information current; and
- Informing us promptly if you believe your account has been compromised.
You must not share account credentials in a way that circumvents any account or user limits applicable to your subscription.
4. Licence to Use SoloPilot
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable and revocable right to access and use SoloPilot for your own business purposes.
You do not acquire ownership of SoloPilot or any intellectual property associated with the Service.
5. Acceptable Use
You must not use SoloPilot:
- For unlawful, fraudulent or deceptive activities;
- To infringe another person's intellectual property or privacy rights;
- To distribute malware or harmful software;
- To attempt unauthorised access to SoloPilot or other systems;
- To interfere with the operation or security of the Service;
- To circumvent security, usage or access controls;
- To scrape or systematically extract information from the Service without permission;
- To reverse engineer the Service except where permitted by law;
- To impersonate another person;
- To upload content you have no right to process; or
- In any manner that could reasonably damage SoloPilot or other users.
We may suspend or restrict accounts where we reasonably believe these Terms have been violated or where necessary to protect the security of the Service.
6. Your Data
You retain ownership of information, documents and other content that you upload to SoloPilot (“Customer Data”).
You grant us a limited right to host, copy, transmit, process, display and otherwise use Customer Data solely as reasonably necessary to provide, maintain, secure and support SoloPilot.
You are responsible for ensuring that you have the right to provide Customer Data to SoloPilot.
We do not acquire ownership of your Customer Data.
7. Client and Third-Party Data
SoloPilot allows you to store information about your clients, customers and other contacts.
You are responsible for ensuring that your collection and use of this information complies with applicable law.
Where SoloPilot processes such Personal Data on your behalf, our Data Processing Agreement applies and forms part of these Terms.
8. Privacy
Our collection and use of Personal Data is described in our Privacy Policy.
By using SoloPilot, you acknowledge that Personal Data will be processed in accordance with that policy and applicable law.
9. Subscriptions and Payments
Certain SoloPilot features require a paid subscription.
Current prices and features will be displayed before you purchase a subscription.
Payments are processed through Stripe.
Unless stated otherwise at the time of purchase, paid subscriptions may renew automatically at the applicable billing interval until cancelled.
You authorise us and our payment provider to charge the applicable subscription fee using your selected payment method.
10. Price Changes
We may change subscription prices from time to time.
Where a price change affects an existing paid subscription, we will provide reasonable advance notice before the new price applies.
If you do not wish to continue at the new price, you may cancel your subscription before the change takes effect.
11. Cancellation
You may cancel your subscription using the functionality provided within SoloPilot or by contacting us.
Cancellation prevents future subscription renewals.
Unless otherwise stated or required by law, you will generally retain access to paid features until the end of your current paid billing period.
Any rights you have under applicable consumer law are unaffected.
12. Refunds
Except where required by law or expressly stated otherwise, subscription fees already paid are non-refundable.
Nothing in these Terms limits any statutory right to a refund or cancellation that cannot lawfully be excluded.
13. Taxes
Prices may include or exclude VAT or other applicable taxes as indicated at the time of purchase.
You are responsible for taxes applicable to your own business activities and use of SoloPilot.
14. Financial and Tax Disclaimer
SoloPilot provides business administration and productivity tools.
SoloPilot is not an accountant, tax adviser, financial adviser or legal adviser.
Information, calculations, reports, estimates, reminders or other outputs provided by SoloPilot are intended to assist with business administration and do not constitute professional financial, tax, accounting or legal advice.
You remain responsible for:
- Your accounting records;
- Tax returns;
- Tax payments;
- Invoices;
- Regulatory filings;
- Business decisions; and
- Obtaining professional advice where appropriate.
You should verify important financial or tax information before relying upon it.
15. Third-Party Services
SoloPilot relies on third-party technology providers, including cloud infrastructure, databases and payment services.
These currently include services provided by:
- Supabase;
- Amazon Web Services; and
- Stripe.
We are not responsible for third-party services to the extent they operate independently of SoloPilot.
Third-party services may be subject to their own terms and privacy policies.
16. Availability
We aim to provide a reliable Service but do not guarantee that SoloPilot will always be available, uninterrupted or error-free.
The Service may occasionally be unavailable because of:
- Maintenance;
- Updates;
- Technical failures;
- Security incidents;
- Third-party infrastructure failures; or
- Circumstances outside our reasonable control.
We may modify, update or temporarily suspend parts of SoloPilot where reasonably necessary.
17. Beta and Experimental Features
We may make beta, preview or experimental features available.
Such features may be incomplete, changed or withdrawn and may contain errors.
Where appropriate, we will identify features as beta or experimental.
18. Intellectual Property
SoloPilot, including its software, design, branding, interfaces, documentation and underlying technology, is owned by or licensed to MJ SMITH HOLDINGS LTD.
All associated intellectual property rights are reserved.
You may not copy, modify, distribute, sell or create derivative works from SoloPilot except as expressly permitted by us or applicable law.
19. Feedback
If you provide suggestions or feedback concerning SoloPilot, we may use that feedback to improve or develop the Service without restriction or compensation to you.
This does not give us ownership of your Customer Data.
20. Suspension
We may suspend access to SoloPilot where reasonably necessary because:
- You materially breach these Terms;
- Subscription fees remain unpaid;
- We reasonably suspect fraudulent or unlawful activity;
- Your use creates a security risk;
- Your use threatens the operation of the Service; or
- We are legally required to do so.
Where reasonably practicable, we will attempt to notify you before or promptly after suspension.
21. Termination
You may stop using SoloPilot at any time.
We may terminate your access where you materially breach these Terms and, where the breach can reasonably be remedied, fail to remedy it after being given reasonable notice.
We may also discontinue the SoloPilot Service. Where reasonably practicable, we will provide advance notice to paying customers.
22. Data Following Termination
Following termination or closure of your account, we may delete Customer Data in accordance with our Privacy Policy and Data Processing Agreement.
You are responsible for exporting information you wish to retain before closing your account.
Where reasonably practicable, we may provide a limited period for data export following termination.
23. Disclaimer
SoloPilot is provided with reasonable care and skill.
However, subject to rights that cannot legally be excluded, we do not guarantee that:
- SoloPilot will be uninterrupted;
- SoloPilot will be completely error-free;
- Every calculation or output will be accurate;
- The Service will meet every particular business requirement; or
- Data will never be lost.
You should maintain appropriate independent records and backups of information that is particularly important to your business.
24. Limitation of Liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to the above and to any rights that cannot legally be excluded, MJ SMITH HOLDINGS LTD will not be liable for indirect or consequential losses, loss of profits, loss of business, loss of opportunity, loss of goodwill or similar business losses arising from use of SoloPilot.
Where legally permitted, our total aggregate liability arising out of or relating to the Service during any twelve-month period will not exceed the greater of:
(a) the amount you paid to SoloPilot during the twelve months immediately preceding the event giving rise to the claim; or
(b) £100.
These limitations apply only to the extent permitted by applicable law.
25. Changes to These Terms
We may update these Terms where necessary to reflect:
- Changes to SoloPilot;
- New features;
- Legal or regulatory changes;
- Security requirements; or
- Changes to our business.
Where a change materially affects existing users, we will provide reasonable notice.
Your continued use of SoloPilot after the effective date of updated Terms constitutes acceptance where permitted by law.
26. Governing Law
These Terms are governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction over disputes relating to these Terms, subject to any mandatory rights you may have under applicable consumer law.
27. Entire Agreement
These Terms, together with the Privacy Policy and Data Processing Agreement where applicable, constitute the agreement between you and MJ SMITH HOLDINGS LTD regarding your use of SoloPilot.
